End User License Agreement - Complynz

This Agreement licenses the Complynz compliance platform, APIs, documentation, and endpoint agent software (the "Software"). Licensor: Complynz Labs Private Limited (CIN: U62012UW2026PTC251272).

License Grant

Subject to payment and compliance with this Agreement, Licensor grants a limited, non-exclusive, non-transferable, non-sublicensable licence to use the Software during the subscription term for internal compliance operations.

License Limitations

You may not lease, rent, distribute, sublicense, or reverse engineer the Software except as permitted by law. User and module limits apply per your plan.

Software Scope

Includes cloud SaaS, APIs, and optional complynz-agent endpoint binaries deployed on your infrastructure.

Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Limitation of Liability

Licensor liability is limited to fees paid in the twelve months preceding a claim. No liability for indirect or consequential damages.

Termination

Licensor may terminate for breach. Upon termination, cease use and uninstall endpoint agents.

Governing Law

Any disputes arising under this document shall be subject to the exclusive jurisdiction of courts in New Delhi, India.
